On January 15, 2026, the United States Court of Appeals for the Second Circuit affirmed a $51 million victory against Getty Images Holdings, Inc. (NYSE: GETY) in a case brought by Rakower Law. In 2023, as lead counsel, we commenced an action against Getty Images on behalf of CRCM Institutional Master Fund (BVI) Ltd. and CRCM SPAC Opportunity Fund LP (collectively, “CRCM”). The action alleged that Getty Images wrongly denied CRCM an opportunity to exercise public warrants in Getty Images upon their proper exercise date. Getty Images took the position that the public warrants were not exercisable until a SEC Form S-1 registration statement became effective. The district court concluded that Getty Images’ position was incorrect and that Getty Images had breached its warrant agreement. Now, the Second Circuit has affirmed the district court’s ruling. We are thrilled for CRCM!
The Second Circuit’s decision validates the Firm’s view of the case since the day we filed it in February 2023.
